These Terms of Service ("Terms") govern your access to and use of our websites, digital products, memberships, online communities, live events, coaching programs, courses, downloads, software, AI tools, and related services.

By accessing this website, purchasing any product or service, registering for an event, joining one of our communities, or otherwise using our services, you agree to be bound by these Terms.

1. SERVICES COVERED

These Terms apply to, including but not limited to:

- Momentum

- Masterclasses

- Workshops

- Digital downloads

- Templates

- AI tools (including Coach Ed)

- Email newsletters

- Free resources

- Future products and services offered by CT Living, LLC.

Some higher-touch coaching programs may also require execution of a separate Program Agreement. Where a separate Program Agreement exists, that agreement supplements these Terms.

2. ELIGIBILITY

You represent that:

- you are at least 18 years old;

- all information provided is accurate;

- you have the legal authority to enter into this agreement.

3. PAYMENT

All purchases are final unless otherwise stated.

Subscription memberships automatically renew until cancelled.

You authorize us (or our payment processor) to charge your payment method according to the selected billing plan.

Failure to pay may result in suspension or termination of access.

4. MEMBERSHIPS

Memberships grant a limited, revocable, non-transferable license to access the applicable membership community and resources.

Membership does not transfer ownership of any content.

Access may be suspended or revoked for violations of these Terms.

5. INTELLECTUAL PROPERTY

All materials remain the exclusive property of CT Living, LLC.

This includes, without limitation:

- videos

- presentations

- recordings

- coaching frameworks

- prompts

- worksheets

- templates

- checklists

- graphics

- AI prompts

- Coach Ed

- methodologies

- workflows

- community content created by us

- downloadable resources

- written materials

- digital products

No ownership rights are transferred.

6. ARTIFICIAL INTELLIGENCE RESTRICTIONS

Without prior written permission, you may not:

- upload our content into ChatGPT, Claude, Gemini, Perplexity, Copilot, or similar AI systems;

- use our materials to build or train an AI assistant;

- create an AI knowledge base from our content;

- create derivative AI products;

- fine-tune AI models using our materials;

- reproduce our coaching methodology through AI.

This restriction applies whether the AI is personal, private, internal, commercial, or public.

7. PERMITTED USE

You may use purchased materials solely for your own internal business or personal development.

You may not:

- resell materials;

- sublicense materials;

- distribute materials;

- share login credentials;

- reproduce materials;

- publish materials;

- create competing products based upon our content.

8. COMMUNITY STANDARDS

Participation in any community (including Skool, Facebook Groups, Slack, Discord, Zoom sessions, live events, etc.) requires professional conduct.

Members agree not to:

- harass staff or members;

- intimidate or threaten others;

- make knowingly false or defamatory statements;

- repeatedly disrupt discussions;

- abuse moderators;

- create a hostile environment;

- interfere with another member's experience.

9. NO SOLICITATION

Unless expressly authorized by CT Living, LLC, members may not:

- recruit clients;

- promote businesses;

- advertise services;

- send unsolicited direct messages;

- solicit members;

- market competing products inside our communities.

10. USER CONTENT

You remain the owner of any content you submit, post, upload, or otherwise share through our website, communities, or programs.

By submitting content, you grant CT Living, LLC a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and use that content solely as necessary to operate, administer, and improve our services, including making your content available to other participants where appropriate (for example, within a group coaching session or private community in which you participate).

We will not use your content outside the operation, administration, or promotion of our services except as otherwise provided in these Terms or with your permission.

11. TESTIMONIALS

If you voluntarily provide:

- testimonials;

- reviews;

- success stories;

- screenshots;

- recordings;

- photographs;

- written feedback;

you grant CT Living, LLC permission to use them for marketing and educational purposes unless otherwise agreed in writing.

12. RECORDINGS

Live coaching calls, workshops, webinars, community sessions, office hours, and events may be recorded.

Recordings may be used:

- inside paid programs;

- inside memberships;

- for internal training;

- for promotional purposes where legally permitted.

13. CONFIDENTIALITY

Members agree to respect the confidentiality and privacy of other participants. Unless you have the express permission of the individual involved, you may not disclose, distribute, publish, or otherwise share:

- Private coaching discussions;

- Member submissions, worksheets, or assignments;

- Recordings of coaching calls, workshops, webinars, or community sessions;

- Confidential business, financial, strategic, or personal information shared by another participant;

- Proprietary discussions or materials shared within private communities or programs.

- This obligation continues after your participation in our programs or communities has ended.

Our Commitment To You:

CT Living, LLC and its employees, contractors, coaches, and authorized representatives are committed to respecting the confidentiality of information shared by participants during coaching sessions, mastermind calls, workshops, and private community discussions.

Except as necessary to operate and deliver our services, as otherwise permitted under these Terms, with your consent, or as required by law, we will not intentionally disclose your confidential information to third parties outside of our organization.

Information may be shared internally among our team members, contractors, or service providers only to the extent reasonably necessary to administer programs, provide coaching and support, fulfill services, maintain our systems, or improve the participant experience. All such individuals are expected to maintain appropriate confidentiality.

Group Coaching and Communities:

Many of our programs include group coaching sessions, mastermind discussions, online communities, and collaborative activities involving multiple participants. While we require all members to respect the confidentiality of others, we cannot guarantee that every participant will comply with these obligations. By participating, you acknowledge and accept this inherent limitation of group-based programs.

Exclusions:

For purposes of this section, "Confidential Information" does not include:

- Information that is publicly available through no breach of these Terms;

- Information that you intentionally make publicly available;

- Information you authorize us to disclose in writing; or

- Information we are required to disclose by law, court order, or governmental authority.

14. NO GUARANTEE OF RESULTS

We provide education, coaching, and strategic guidance.

We do not guarantee:

- revenue;

- sales;

- business growth;

- employment;

- investment returns;

- specific business outcomes.

Results depend upon many factors beyond our control.

15. TERMINATION

We reserve the right to suspend or terminate access immediately, without prior notice, where a user:

- violates these Terms;

- infringes our intellectual property;

- uploads protected materials into AI systems without authorization;

- harasses staff or members;

- solicits members;

- commits fraud;

- materially disrupts the community;

- engages in abusive or unlawful conduct.

Termination for cause does not entitle the user to a refund unless required by applicable law.

16. REFUNDS

Refund policies vary by product and program.

Where a separate Program Agreement exists, that agreement governs refunds.

Unless otherwise stated, digital products and completed services are non-refundable.

17. DISCLAIMERS

Our content is provided for educational and informational purposes only.

Nothing on this website constitutes legal, accounting, tax, financial, employment, or medical advice.

18. LIMITATION OF LIABILITY

To the fullest extent permitted by law, CT Living, LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the services.  CT Living, LLC’s liability shall be limited to any fees paid by you to CT Living, LLC within the past calendar year.

19. INDEMNIFICATION

You agree to indemnify and hold harmless CT Living, LLC, its owners, employees, contractors, affiliates, and representatives from any claims arising from your breach of these Terms or misuse of the services.

20. GOVERNING LAW

These Terms shall be governed by the laws of Washington D.C., United States, without regard to conflict of law principles.

21. MODIFICATIONS

We may update these Terms from time to time.

Continued use of the website or services after changes become effective constitutes acceptance of the revised Terms.
